1. Services Overview
Luminary Agency ("Provider") offers AI-powered digital marketing services including but not limited to: social media content creation, brand strategy development, campaign management, and web presence optimization. By engaging our services, you ("Client") agree to the terms outlined in this agreement.
2. AI-Generated Content Disclaimer
Important: Content produced by Luminary Agency is generated with the assistance of artificial intelligence tools. All AI-generated content is reviewed and refined by our systems before delivery, but Client acknowledges that this content is AI-assisted in nature.
Client is responsible for reviewing and approving all content before it is published on their behalf. Luminary Agency will not publish any content without Client approval through the client portal. Client assumes responsibility for the accuracy and appropriateness of approved content once published.
3. Content Ownership
Upon payment for services rendered, Client owns all rights to the final delivered content. This includes social media posts, brand assets, marketing copy, and any other deliverables produced during the engagement. Luminary Agency retains the right to use anonymized examples of work in its portfolio unless Client opts out in writing.
4. Data Privacy & Handling
Client data is collected and stored solely for the purpose of delivering the contracted services. Luminary Agency commits to the following data practices:
- Client business information is stored securely and used only for service delivery
- Client data is not sold, shared, or disclosed to third parties except as required by law
- AI systems may process client data to generate content and recommendations
- Upon termination, Client may request deletion of their stored data within 30 days
- We use industry-standard encryption for data at rest and in transit
5. Payment Terms
Services are billed according to the plan selected at onboarding. Payment is due upon receipt unless otherwise specified. Luminary Agency reserves the right to suspend services for accounts more than 15 days past due.
6. Cancellation Policy
Either party may terminate this agreement with 30 days written notice. Upon cancellation:
- Client retains ownership of all previously delivered and paid-for content
- Any prepaid unused services will be refunded on a prorated basis
- Access to the client portal will remain active for 14 days after termination for content retrieval
- Scheduled and queued content will be paused upon notice of cancellation
7. Limitation of Liability
Luminary Agency's total liability under this agreement shall not exceed the fees paid by Client in the three (3) months preceding any claim. Provider is not liable for indirect, consequential, or incidental damages including but not limited to lost revenue, lost profits, or business interruption arising from the use of delivered content or services.
8. Service Level Expectations
Luminary Agency will make commercially reasonable efforts to deliver content on the agreed schedule. Delays caused by Client review cycles, third-party platform outages, or force majeure events are excluded from service level commitments.
9. Modifications
Luminary Agency reserves the right to update these terms with 30 days notice to active clients. Continued use of services after the notice period constitutes acceptance of updated terms.
10. Governing Law
This agreement is governed by the laws of the Commonwealth of Kentucky. Any disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration in Louisville, KY.
